These Terms of Service (“Terms”) govern your access to and use of our services, including our website layerbrain.com, our web application brain.layerbrain.com, our API api.layerbrain.com, and our distributed compute infrastructure thalamus.layerbrain.com (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Access to Services

2.1 Eligibility

Our Services are intended for users who are at least 18 years old. By using our Services, you represent and warrant that you meet this age requirement.

Users cannot delete their accounts directly. However, we reserve the right to terminate or suspend your account at our discretion, for any reason, including but not limited to, misuse of the Services or actions that may harm our company or other users.

4. Fees and Payment

4.1 Pricing Structure

Our Services are provided on a subscription-based and usage-based model. You will be charged for compute resources and any inference associated with processing your requests.

4.2 Billing Cycle

Billing is conducted on a monthly basis. Your account will be billed at the start of each billing cycle for the Services used during the previous cycle.

4.3 Refund Policy

We do not offer refunds as we allocate standard compute resources for the entire billing cycle. However, in extenuating circumstances, you may contact us to discuss possible accommodations.

4.4 Payment Methods

We accept all payment methods supported by Stripe.

5. Intellectual Property

5.1 Ownership

All intellectual property rights in the Services and any related software, content, or technology belong to Layerbrain or its licensors.

5.2 User-Generated Content

You retain all rights to the content and software generated using our Services. We do not claim any intellectual property rights over your creations. Additionally, we do not train our AI systems on user-generated outputs; instead, we rely on synthetic data.

6. User Conduct

6.1 Permitted Use

You may use our Services to generate software and perform activities as long as you comply with these Terms and applicable laws.

6.2 Prohibited Activities

You agree not to:

  • Use the Services for any unlawful purposes.
  • Engage in activities that could harm our company or other users.
  • Attempt to interfere with the security or functionality of the Services.

7. Termination of Services

7.1 By Layerbrain

We reserve the right to terminate or suspend your access to the Services, without prior notice, for any reason, including but not limited to, violation of these Terms, misuse of the Services, or actions that may pose a risk to our company or other users.

7.2 By User

While users cannot delete their accounts directly, you may request account termination by contacting our support team. We reserve the right to process such requests in accordance with our policies.

8. Limitation of Liability

Our Services are provided “as is” and “as available” without any warranties, express or implied. Layerbrain is not liable for any inaccuracies or errors in the AI-generated software. It is the user’s responsibility to verify and ensure the accuracy of the generated software.

In no event shall Layerbrain be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Services.

Layerbrain is not liable for any actions taken by users based on the information or software generated through our Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Layerbrain and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Services, or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
