Acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of Layerbrain's websites, research previews, products, APIs, tools, and related services (together, the "Services"). By accessing or using the Services, you agree to these Terms.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Eligibility and accounts

You must be legally capable of entering into a binding agreement to use the Services. If a service requires an account, you must provide accurate information, keep your credentials secure, and remain responsible for activity under your account.

Use of the services

Subject to these Terms, Layerbrain grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose.

You may not:

  • use the Services in violation of law or regulation
  • interfere with or disrupt the security, integrity, or availability of the Services
  • attempt to gain unauthorized access to systems, accounts, or data
  • reverse engineer, decompile, or extract source code from the Services except where the restriction is prohibited by law
  • use the Services to build or offer a competing service through unauthorized copying or scraping
  • use the Services to store or transmit malicious code, spam, or abusive content

User content and inputs

You may provide prompts, files, instructions, feedback, and other content through the Services ("Inputs"). You retain any rights you have in your Inputs. You grant Layerbrain the rights needed to host, process, transmit, display, and otherwise use Inputs and related Outputs to provide, secure, maintain, and improve the Services, subject to any separate written agreement that applies to your use.

You are responsible for ensuring that you have the rights needed to submit Inputs and to use the Outputs you choose to rely on.

Outputs and generated content

The Services may generate responses, content, suggestions, software, or other outputs. Outputs may be probabilistic, incomplete, or incorrect. You are responsible for reviewing outputs before relying on them, especially for high-stakes, legal, financial, medical, security, or operational uses.

Intellectual property

Layerbrain and its licensors own the Services, including the software, models, interfaces, branding, documentation, and all related intellectual property rights. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

Beta and preview services

Some Services may be offered as alpha, beta, research preview, or experimental features. Those offerings may change, be interrupted, or be withdrawn at any time, and may have reduced availability, support, or reliability.

Fees, credits, and paid services

If you purchase paid services, prepaid usage, or service credits, additional commercial terms, order forms, or credit terms may apply. You are responsible for applicable taxes unless the law requires otherwise.

Suspension and termination

We may suspend or terminate access to the Services if you violate these Terms, create risk for the Services or other users, fail to pay amounts due, or if we are required to do so by law. You may stop using the Services at any time.

Upon termination, rights granted to you under these Terms end immediately, but provisions that by their nature should survive termination will continue to apply.

Disclaimers

The Services are provided on an "as is" and "as available" basis, to the maximum extent permitted by law. Layerbrain disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that outputs will be accurate or suitable for your intended use.

Limitation of liability

To the maximum extent permitted by law, Layerbrain and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities.

To the maximum extent permitted by law, the total liability of Layerbrain for claims arising out of or relating to the Services or these Terms will not exceed the greater of the amount you paid to Layerbrain for the specific Services giving rise to the claim during the 12 months before the claim arose, or one hundred U.S. dollars (USD $100).

Indemnity

To the extent permitted by law, you will indemnify and hold harmless Layerbrain and its affiliates, officers, employees, and agents from claims, losses, liabilities, damages, and expenses arising out of your use of the Services, your Inputs, or your violation of these Terms or applicable law.

Changes to the services or these terms

We may change the Services or these Terms from time to time. If we make a material change to these Terms, we will update the date above and may provide additional notice where appropriate. By continuing to use the Services after the updated Terms become effective, you agree to the revised Terms.

Governing law

These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules, except where applicable law requires otherwise.
